Pathways Volunteer Agreement

Recitals
A. Pathways Melbourne is a not-for-profit organisation that provides support to members of orthodox or ultra-orthodox Jewish communities who are considering leaving or seeking to leave their community.
B. The Volunteer is a person who wishes to volunteer their services to Pathways Melbourne.
C. The Volunteer and Pathways Melbourne have agreed to the terms upon which the Volunteer will volunteer their services to Pathways Melbourne as set out in this Deed.
D. The Volunteer acknowledges that their engagement with Pathways Melbourne is as a volunteer and not as an employee or contractor.
THIS DEED WITNESSES that in consideration of, among other things, the mutual promises contained in this Deed, the parties agree:
1. Volunteer Services

The Volunteer agrees to undertake the services reasonably expected of a mentor

The Volunteer agrees that they are not entitled to the payment of any salary or other remuneration, or the provision of any benefits, for any work undertaken as a volunteer.

The Volunteer agrees that they are strictly a volunteer, and nothing in this Deed is taken to mean that they are an employee or contractor of Pathways Melbourne.
2. Location

The Volunteer will ordinarily volunteer at a location agreed between them and Pathways Melbourne, however they may be asked to volunteer at a different location from time to time.
3. The Volunteer's Services

The Volunteer must immediately disclose to Pathways Melbourne if there is any actual, potential or perceived conflict between the Volunteer's role with Pathways Melbourne and other interests or activities they undertake.

The Volunteer will immediately disclose to Pathways Melbourne any criminal charge, police involvement, health concerns, injury or any other matter that does or has the potential to impact on their volunteer role or Pathway Melbourne's or their reputation.

The Volunteer must provide Pathways Melbourne with a current Working With Children Check prior to starting their volunteering if requested.
4. Cessation

Either the Volunteer or Pathways Melbourne may cease the volunteering arrangement at any time. However as a courtesy, Pathways Melbourne would be grateful if the Volunteer could provide as much notice as possible if they intend to cease their engagement as a volunteer.
5. Property

If Pathways Melbourne provides the Volunteer with any property to assist them in volunteering under this Deed, these items remain the property of Pathways Melbourne and should be treated with reasonable care.

On cessation, the Volunteer will immediately return to Pathways Melbourne all property belonging to Pathways Melbourne including Confidential Information, documents, records, computer disks, software, tools, credit cards, mobile phones, keys and any other property.
6. Confidential information

The Volunteer will not, at any time during or after their volunteering with Pathways Melbourne, disclose or use any Confidential Information relating to Pathways Melbourne other than in the course of their volunteering.

"Confidential Information" means any information in whatever form which is disclosed to the Volunteer as confidential or is by its nature confidential and which relates to any business or activities conducted or proposed to be conducted by Pathways Melbourne including, without limitation:
a) all information regarding business plans, marketing strategies, sponsorship strategies, fundraising initiatives, operating procedures or techniques, or the implementation of such strategies including information relevant to the methods or techniques implemented, or to be implemented, for or by Pathways Melbourne;
b) all information including precedents, documents, files, budgets, margins, supplier lists, membership records, processes, know-how, ideas, techniques, formulae, designs, models, calculations, prices, costs, research and development results, reports and data any information of whatever nature whether the same is recorded in writing, in hard copy form, or on computer disk or provided verbally;
c) any other information that by its very nature might reasonably be understood to have been disclosed to you in confidence; and
d) any personal information of a person accessing service of Pathways Melbourne.
3. The obligations in clause 7.2 do not apply to any Confidential Information which:
a) is disclosed in good faith by a third party who did not obtain the Confidential Information in breach of this Deed and who is not bound by an obligation of confidence in respect of that information; or
b) is in the public domain other than due to a breach of this Deed.
7. Disclosure of Volunteer Information

To ensure the best match is made between volunteers and mentees, Pathways Melbourne may need to disclose relevant information about volunteers' religious and/or social upbringing, in addition to professional background, if deemed appropriate.

We will not disclose your information to anyone outside Pathways Melbourne unless required by law or for the purposes of Pathways Melbourne providing its services.
8. Policies

To help Pathways Melbourne operate lawfully, safely and efficiently, Pathways Melbourne has policies and procedures which set out how it expects everybody involved with Pathways Melbourne to conduct themselves and the process to be followed.

The Volunteer must ensure they obtain access to, read, and comply with all Pathways Melbourne's policies and procedures.

To meet the changing environment in which Pathways Melbourne operates, it may be necessary to change policies andprocedures from time to time. The Volunteer will be given notice of the changes and will be required to follow the changed policies and procedures.

If there is any inconsistency between the terms of this Deed and a Pathways Melbourne policy, this Deed will prevail to the extent of any inconsistency.

Without limiting this clause 9, the Volunteer will comply with all health and safety laws and requirements and seek at all times to provide its services in a safe manner.
9. Intellectual property

The Volunteer warrants that they will immediately communicate and assign to Pathways Melbourne all intellectual property in any documents, processes, inventions, improvements, innovations, developments, modifications and work which theymay make (either alone or in conjunction with others) in connection with or arising out of their engagement as a volunteer or using Pathways Melbourne's resources or funding.

The Volunteer agrees to execute, at Pathways Melbourne's expense, all documents or acts as may be necessary or reasonable to assign the intellectual property to Pathway Melbourne and/or assist Pathways Melbourne in obtaining protection for the intellectual property.
10. Interpretation

If any term of this Deed is found to be or becomes unenforceable or contrary to law it will be severed and this will not in any way affect the enforceability of the remaining terms.

This Deed is governed by the laws of Victoria and the parties to this Deed submit to the exclusive jurisdiction of the courts of Victoria.

Subject to Pathway Melbourne's right to amend policies and procedures and to change the Volunteer's services, any amendment to this Deed is not binding unless agreed between Pathways Melbourne and the Volunteer and recorded in writing.

Any prior agreement or understanding on anything connected with the Volunteer's engagement is superseded by this Deed.
